This document is an electronic record in terms of Information Technology Act, 2000 and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of the domain name https://www.koshex.com ("Website") and its mobile applications (collectively referred to as "Platforms"), including the related mobile site or application (hereinafter referred to as "Platform").

The Platform is owned by Neuokosh Capital Private Limited, a company incorporated under the Companies Act, 1956 with its registered office at (hereinafter referred to as "Neuokosh").

Your use of the Platform and services and tools are governed by the following terms and conditions ("Terms of Use") as applicable to the Platform including the applicable policies which are incorporated herein by way of reference. If You transact on the Platform, You shall be subject to the policies that are applicable to the Platform for such transaction. By mere use of the Platform, You shall be contracting with Neuokosh and these terms and conditions including the policies constitute Your binding obligations, with Neuokosh.

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any natural or legal person who has agreed to become a user/buyer on the Platform by providing details as prompted in the registration form or who visits/browses the Platform. The term "We", "Us", "Our" shall mean Neuokosh.

When You use any of the services provided by Us through the Platform, including but not limited to, (e.g. investing in a mutual fund) You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Terms of Use and shall be considered as part and parcel of this Terms of Use. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You. It is Your responsibility to review these Terms of Use periodically for updates/changes. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the revisions.

By impliedly or expressly accepting these Terms of Use, You also accept and agree to be bound by the Policies of Neuokosh as available on the Platform.

You will be required to register on our Platform and set up an account ("Account") to use certain features/services. While registering, You agree to maintain accurate, complete, and up-to-date information in Your account. Use of Your Account and/or password by any person is Your sole responsibility and Neuokosh shall not be responsible or liable in any manner whatsoever for any misuse of Your Account and/ or password.

You agree to immediately notify Neuokosh of any unauthorized use of Your account or password. Neuokosh reserves the right to refuse access to the Platform, terminate accounts, remove or edit content at its sole discretion.

To access and use the services, You will be required to register and create an Account on the Platform by providing certain personal information including but not limited to Your name, email address, phone number, PAN details, bank account details etc. You represent and warrant that all information You submit is true, accurate, current and complete.

You shall be solely responsible for maintaining the confidentiality of Your Account credentials and for all activities that occur under Your Account, whether or not authorised by You.

Neuokosh takes the privacy of Your information seriously. Any information provided to Neuokosh shall be governed by our Privacy Policy, which forms an integral part of these Terms of Use. Please refer to our Privacy Policy to learn more about how We collect, use and protect Your information.

You agree not to share any confidential information relating to Neuokosh, its business, or its other users that You may become aware of during Your use of the Platform.

You agree that You shall not, and shall not permit any third party to:

1. Use the Platform for any purpose that is unlawful or prohibited by these Terms of Use;
2. Use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform;
3. Attempt to gain unauthorized access to any accounts, computer systems or networks connected to the Platform through hacking, password mining, or any other means;
4. Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform;
5. Reverse engineer, decompile, or disassemble any portion of the Platform;
6. Upload or transmit viruses, malware, or other malicious code;
7. Impersonate or attempt to impersonate Neuokosh, a Neuokosh employee, another user, or any other person or entity.

Without limiting other remedies, Neuokosh may limit Your activity, immediately remove Your information, warn other Users of Your actions, immediately temporarily/indefinitely suspend or terminate Your Account and/or refuse to provide You access to the Platform in the event, without limitation, that: (a) You breach this Terms of Use or the Policies; (b) Neuokosh is unable to verify or authenticate any information provided by You; or (c) Neuokosh believes that Your actions may cause legal liability, financial loss or damage to Neuokosh, its affiliates or other Users, or may be contrary to the interests of the Platform.

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Neuokosh, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Platform, except as generally and ordinarily permitted through the Platform according to these Terms of Use.

You agree to indemnify, defend and hold harmless Neuokosh, its affiliates, officers, directors, employees, agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from Your use of the Platform or Your violation of these Terms of Use.

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. Neuokosh does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

In no event shall Neuokosh, its affiliates, or their respective officers, directors, employees or agents be liable for any indirect, incidental, special, consequential or punitive damages arising out of or related to Your use of the Platform.

These Terms of Use shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms of Use, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, India, and the language of arbitration shall be English. Subject to the foregoing, the courts at Bengaluru, India shall have exclusive jurisdiction over any matters arising out of or in connection with these Terms of Use.

If any provision of these Terms of Use is held to be invalid, illegal or unenforceable for any reason by any court or authority of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal and enforceable, and the remaining provisions of these Terms of Use shall continue in full force and effect.

Investments in the securities market are subject to market risks. Read all the related documents carefully before investing. Registration granted by SEBI, membership of BASL (in case of IAs) and certification from NISM in no way guarantee performance of the intermediary or provide any assurance of returns to investors.

Where Neuokosh facilitates access to or aggregation of your Employees' Provident Fund Organisation ("EPFO") account information, the following additional terms apply.

By choosing to link Your EPFO account on the Platform, You expressly consent to Neuokosh retrieving, storing and displaying Your EPFO account information solely for the purpose of providing You a consolidated view of Your retirement savings, and for no other purpose without Your further consent.

Investments made through the Platform in mutual fund schemes or other financial products are subject to the refund, redemption and cancellation policy of the respective Asset Management Company/product issuer and applicable regulatory guidelines, and not to any separate refund policy of Neuokosh. Any fees paid directly to Neuokosh for value added services, where applicable, are non-refundable except as may be required under applicable law.

Neuokosh may, at its sole discretion, reward Users with "Koshex Coins" as part of promotional or loyalty programs on the Platform. Koshex Coins have no monetary value, cannot be exchanged for cash, and may be used only in the manner and subject to the terms specified by Neuokosh from time to time on the Platform. Neuokosh reserves the right to modify, suspend or discontinue the Koshex Coins program, or to change the terms applicable to it, at any time without prior notice.

We may amend these Terms of Use from time to time. Amendments will be effective upon Neuokosh posting of such updated Terms of Use on the Platform. Your continued access or use of the Platform after such posting constitutes Your acceptance of the amended Terms of Use. As such, You should read this Agreement and check the applicable Policies periodically. If You do not agree to any of the terms herein, please stop using the Platform immediately.
